Terms and conditions :

1. APPLICATION OF THE GENERAL CONDITIONS OF SALE of Antibes Informatique.

These general conditions of sale are applicable to all products and services sold by Antibes Informatique. They are applicable in their entirety to any contract entered into between Antibes Informatique and its customers in FRANCE or abroad, regardless of the time and place of delivery.
No derogation from these conditions can be accepted without the express and prior written consent of Antibes Informatique. Any condition contrary to these general conditions of sale set by the buyer in his general conditions of purchase or in any other document, will be unenforceable against the seller, regardless of when it may have been brought to his attention.

2. ORDERS AND EXECUTION

Any order placed with Antibes Informatique is firm and final for the customer upon receipt by Antibes Informatique of a purchase order or any other media indicating an order. Any payment of a deposit by the customer to Antibes Informatique is equivalent to a signature and acts to confirm the order. The unavailability of a product due to a shortage of stock, its removal from the catalog may not lead to any cancellation of the global order and shall not entitle Antibes Informatique to any compensation. For any specific order desired by the customer, the item(s) cannot be returned, exchanged or refunded. For any canceled order, Antibes Informatique reserves the right to retain all or part of the deposit(s) paid to cover any losses on resale.

3. PRICE

The products are supplied at a fixed price based on the rate in effect at the time of receipt of the order. Our tariff prices are ex-warehouse, VAT and all
other taxes not included which will be invoiced in addition. Prices are subject to change without notice and vary according to the discounts and rebates applicable on the date of
receipt of order.

4. PAYMENT DEADLINES

Invoices are payable at the registered office of Antibes Informatique. Invoices will be payable before delivery or collection by bank transfer (only for customers already on account) or by accepted credit card. Customers benefiting from a line of credit will be entitled to a payment period, the duration of which will depend for each customer on the amount of his line of credit but which may in no case exceed 30 days.

No discount is granted for early payment.

4.1 Late payments

In the event of payment occurring after the date appearing on the invoice and that resulting from the application of this article, penalties at the rate of twice the rate
of legal interest will be applied 8 days after the formal notice remains unsuccessful, without however this penalty being less than 120 euros. interest in
legal rate per month of delay will run at the end of the aforementioned period of 8 days. Late payment may also give rise to: Suspension of orders
in progress, Withdrawal of any possibility of delay of payment as mentioned above, With the suspension of all our obligations of guarantee and repair towards the
customer.

5. DELIVERY CONDITIONS

5.1 Terms:

The delivery takes effect at the time of the collection of the products by the customer at the place of storage of Antibes Informatique. The customer agrees to take delivery of the products in the warehouses of Antibes Informatique in ANTIBES during opening hours. Failing collection within 20 days, Antibes Informatique reserves the right to cancel the order of the products.

5.2 Delivery times:

The delivery times indicated by Antibes Informatique are indicative.
No compensation may be granted to the customer in the event of non-compliance with these deadlines, and no order may be canceled without the express agreement of Antibes Informatique. In the event of a stock shortage of one or more products ordered, Antibes Informatique will notify the customer and proceed with the delivery of the existing ones. At the customer's request, Antibes Informatique will agree to wait for the availability of all the products ordered to deliver the customer and thus avoid partial deliveries except in the case of orders for specific products. Partial delivery may not, however, be deferred for more than 15 days.

5.3 Transfer of risk:

The transfer of risk occurs on the delivery date as defined in point 5.1. Consequently, the products travel at the sole risk and peril of the recipient.
The refusal of the products on delivery by a customer may be considered abusive if this customer cannot justify the reality of the anomalies invoked on his purchase document. In the event of refusal of abusive products, Antibes Informatique may claim from the customer a lump sum compensation of €90 excluding tax.

6. WARRANTY CONDITIONS

The products sold by Antibes Informatique are guaranteed under the conditions determined by the manufacturer which will be communicated to any customer who requests it. Namely: new computers are guaranteed for one year for parts and labor in the workshop, screens and other peripherals are covered by the manufacturer's warranty. This guarantee is only effective when the equipment is used under normal conditions as defined in the related technical notices, as well as when the malfunction(s) recognized are not linked to an external cause (EDF, PTT), human or viral.

On all the products supplied by Antibes Informatique, only our technicians are able to provide after-sales service as well as the evolution of our systems under or out of warranty. In the event of non-compliance with this clause, Antibes Informatique reserves the right to make any modifications deemed necessary so that the said system regains its normal operation without this giving rise to any discount in any way whatsoever on the intervention or on the parts which will be fully invoiced to the customer.

Furthermore, during any intervention or during the return of equipment to the manufacturer, we cannot, under any circumstances, be held responsible for the loss or alteration of programs and data present on magnetic media, discs drives or any other type of backup system provided by the customer, whether such products are under warranty or not.

7. PRODUCT RETURNS

No return of products will be accepted without proof of purchase. Only products judged to be defective by our departments will be subject to after-sales service if they are still
under warranty.

8. RETENTION OF OWNERSHIP

Antibes Informatique expressly reserves ownership of the goods delivered until full and final payment of their principal price and interest. In the absence of full payment of the price of the products in principal and interest, Antibes Informatique may, at any time, take back the products from the customer. Does not constitute a payment within the meaning of this article the delivery of a document creating an obligation to pay, draft or other. Until full payment of the price.

The customer may not pledge the products, exchange them or transfer them to collateral ownership. This retention of title clause does not constitute
obstacle from the delivery of the products to the transfer of risks to the customer in accordance with article 5.3 above, the customer undertakes to take all care in the custody and
conservation of the products and to take out any useful insurance. The opening of collective proceedings for the benefit of the client cannot defeat the claim of
goods by Antibes Informatique.

9. ATTRIBUTION OF JURISDICTION AND APPLICABLE LAW

Expressly, jurisdiction is given to the competent Courts between the parties, with application of French law. The customer, at the time of any purchase, declares to have read and accept without reservations the general conditions of the company Antibes Informatique reproduced above.
